The Steps of Limited Liability Partnership Registration
Startup Kro provides a hassle-free 3-step process to register your LLP online. Here’s how it works:
Step 1:
Obtain DSC and DIN To begin the process, we’ll collect the necessary information from you to obtain Digital Signature Certificates (DSC) and Director Identification Numbers (DIN) for 2 partners. These are required for all online forms that need to be submitted.
Step 2:
Application for Name Approval Next, we’ll check if the name you want to register under is available and reserve it for your LLP. We’ll ensure that the name doesn’t hold any resemblance to any existing partnership firms, LLPs, trademarks, or body corporates. Once the name is approved by the registrar, we’ll proceed to the next step.
Step 3:
LLP Agreement and Incorporation Our experts will draft the LLP agreement, which determines the mutual rights and duties between the partners and the LLP. Once the LLP agreement is signed, we’ll file Form 3 online on the MCA portal to register the LLP. Upon approval of all forms and documents by the registrar, you’ll receive your LLP incorporation certificate.
Step 4:
PAN, TAN, and Bank Account As soon as you receive the incorporation certificate, we’ll help you apply for your PAN, TAN, and bank account.
Our LLP registration package includes DSCs and DINs for 2 directors, drafting of MoA & AoA, partnership agreement, registration fees and stamp duty, incorporation certificate, PAN and TAN registration. We also provide free consultation, assistance with opening a current bank account, ROC compliances, online accounting software, and a master file with all documentation needed for incorporation. Plus, you’ll get a zero-balance current account powered by DBS bank.
Trust Startup Kro to make your LLP registration process simple and efficient.

A Limited Liability Partnership is a type of partnership in which each partner has limited liability. This means that each partner is responsible for their own actions and debts, and they are not personally liable for the actions or debts of other partners.
The documents required for LLP registration include the identity and address proof of partners, proof of address of the registered office, PAN card, and digital signature certificate (DSC) of the partners.
The minimum number of partners required for LLP registration is two, and there is no maximum limit. However, there should be at least two designated partners who are responsible for compliance with the LLP Act.
The benefits of LLP registration include limited liability protection, tax benefits, separate legal entity status, ease of incorporation, and flexibility in management and ownership.
The time taken for LLP registration depends on the time taken to obtain DSCs and DINs, name approval, drafting of the LLP agreement, and filing of the incorporation forms and documents with the registrar. Generally, it takes around 15-20 days to complete the LLP registration process.
Yes, a foreigner can become a partner in an LLP. However, they need to comply with the Foreign Exchange Management Act (FEMA) regulations and obtain a DIN and PAN in India.
The cost of LLP registration includes the government fees for filing forms and documents, stamp duty on the LLP agreement, and professional fees for drafting and filing the documents. The cost varies depending on the number of partners and the capital contribution of the LLP.
Typically, only start-ups that will not be looking for venture capital funding register LLPs. This is because venture capitalists only invest in private and public limited companies.
